1. Acceptance of Terms

By accessing and using the services of Laravel Experts Kolkata ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Laravel Experts Kolkata provides:

• Custom Laravel web application development
• FilamentPHP admin panel development
• Laravel Nova integration services
• Livewire development
• API development and integration
• Cloud deployment and maintenance
• Technical consulting and support

3. Project Engagement

3.1 Project Scope

All projects will be governed by a separate Statement of Work (SOW) or project agreement that outlines specific deliverables, timelines, and costs.

3.2 Changes to Scope

Any changes to the agreed project scope must be documented and approved in writing. Additional charges may apply for scope changes.

4. Payment Terms

4.1 Payment Schedule

• Projects under $5,000: 50% upfront, 50% on completion
• Projects $5,000-$20,000: 30% upfront, 40% at milestone, 30% on completion
• Projects over $20,000: Custom payment schedule as agreed

4.2 Late Payments

Invoices are due within 30 days. Late payments may incur a 1.5% monthly service charge and may result in project suspension.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, the client will own all custom code developed specifically for their project, excluding our proprietary frameworks and tools.

5.2 Third-Party Components

Open-source libraries and third-party components remain under their respective licenses. We retain rights to our development methodologies and general knowledge.

6. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We will not disclose any confidential information without explicit written consent, except as required by law.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 90-day warranty on bug fixes for delivered code.

7.2 Disclaimers

Services are provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

8. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project. We shall not be liable for any indirect, incidental, or consequential damages.

9. Project Timelines

9.1 Delivery Estimates

Project timelines are estimates based on current scope and available resources. Delays may occur due to scope changes, client feedback cycles, or unforeseen technical challenges.

9.2 Client Responsibilities

Timely delivery depends on client cooperation, including prompt feedback, content provision, and decision-making within agreed timeframes.

10. Termination

10.1 Termination by Client

Clients may terminate projects with 30 days written notice. Payment is due for all work completed up to the termination date.

10.2 Termination by Company

We may terminate projects for non-payment, breach of terms, or if the project becomes technically infeasible.

11. Dispute Resolution

Any disputes will be resolved through good faith negotiation. If resolution cannot be reached, disputes will be subject to binding arbitration in Kolkata, India, under Indian arbitration laws.

12. Governing Law

These terms are governed by the laws of India and the jurisdiction of courts in Kolkata, West Bengal.

13. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or global pandemics.

14. Modifications

We reserve the right to modify these terms at any time. Clients will be notified of material changes, and continued use of our services constitutes acceptance of modified terms.
